Job Title: Director, Legal Counsel

At ICON, we have an incredible opportunity for a Director, Legal Counsel to join the team in our Leopardstown, Dublin 18 location.
The Role:
Following the recent announcement of ICON's acquisition of PRA Health Services ICON is seeking an experienced corporate counsel to join its expanding legal team in its Dublin HQ. This is a key senior appointment and will report directly to ICON's Vice-President of Legal. The successful candidate will be a key member of ICON M&A team, taking a lead role on future M&A activity and working closely with other key stakeholders within the finance, tax and corporate development departments. The role will also play a significant part in the implementation of integration planning for the combined ICON and PRA Organisation made up of over 250 legal entities globally. The role will also act as business partner to ICON's corporate finance and Treasury teams on the negotiation of significant financial facilities on behalf of the ICON group from time to time and ensuring ongoing compliance with existing material facilities.
- Provide corporate legal support to ICON's Office of Integration Management to support the integration objectives of the Group including advising on corporate legal issues which may arise and any specific corporate projects identified during integration.
- Provide support for M&A transactions, including working with Corporate Development on deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution.
- Provide support for group reorganizations, including advising on legal aspects of steps plans, planning and assisting in due diligence, drafting and negotiating agreements, and actively managing process and execution.
- Provide support for financing transactions necessary for the ICON group from time to time, including drafting and negotiating agreements, and actively managing process and execution including any external advisors engaged to support the process.
- Instructing and managing external corporate legal advisors on any corporate transactions when external advisors are considered necessary.
- Provide support on real estate, corporate, commercial and other transactions and special projects.
- Stay up-to-date and keep Legal team advised on external corporate law trends, SEC and NASDAQ issues, general legal issues and best practices.
- Support the stock administration department on any legal advice required in relation to equity matters.
- Support ICON Director of Corporate Governance as required on corporate legal issues for ICON plc and its 250+ subsidiaries.
- Provide legal advice on employee equity plans, executive share trading and insider trading.
- Engage and develop relationships with a range of stakeholders across the Legal, Finance, Tax, Treasury, HR and Facilities functions.
- Ad hoc project work.
What you will need:
- Honors university degree in legal or business
- Minimum 7 years PQE corporate/ M&A experience either in-house or in a Top 10 commercial law firm
- Excellent interpersonal skills with the ability to build strong relationships across business functions and an ability to effectively engage with and influence diverse teams of senior individuals
- Ability to work to deadlines, manage multiple projects and deliver under pressure to a high standard
- Excellent attention to detail, excellent written, communication and negotiation skills
- Good business and risk awareness skills and the ability to act/think strategically, logically and commercially
- Ability to dispense direct and actionable feedback to business stakeholders at all levels tactfully
- Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity
- Self-starter with the ability to work under their own initiative with a strong work ethic
- Trustworthy, discreet and tactful while handling confidential and sensitive information
