Corporate Legal Counsel (1-2 years PQE)

The role:
This is a rare and exciting newly created opportunity for a Corporate Legal Counsel to join ICON’s award winning in-house legal department.
Key responsibilities:
ICON is seeking an exceptional Legal Counsel for our corporate function to join our expanding legal team in our Dublin global HQ to support the group’s corporate development strategy and internal corporate activities.
The successful candidate will provide support to business stakeholders under the direction of Director, Legal Counsel, Corporate. A creative legal mind, strong attention to detail and excellent organizational skills are all qualities we seek in the ideal candidate.
In particular, you will be:
Advising on internal re-organisations in multiple jurisdictions in connection with ICON’s recent acquisition of PRA Health Sciences
Assisting with mergers and acquisitions, investments and other strategic transactions at all stages, from performing due diligence, drafting and negotiating term sheets and transaction documentation, and supporting closing transactions and post-closing integration
Drafting and assisting with the preparation of related board and committee meeting materials
Assisting with and managing other special corporate projects to completion in an efficient and effective manner and with a team-oriented approach
Collaborating with ICON’s corporate development, finance, treasury and tax teams
Managing and prioritizing workload to comply with stakeholder deadlines
Liaising with and responding to queries from stakeholders on corporate legal matters
Engaging and liaising with external advisors across multiple jurisdictions
What you will need:
Qualified lawyer (1-2 years PQE)
M&A, corporate transaction and reorganization experience working in-house and/or for a law firm
Strong organizational and time-management ability
First-rate attention to detail
Ability to work to deadlines, manage multiple projects and deliver under pressure to a high standard
Self-starter with the ability to work under their own initiative with a strong work ethic
Excellent interpersonal skills with the ability to build strong relationships across business functions and communicate in a professional manner at all levels within the organization
Good business, risk awareness and problem-solving skills with the ability to act/think strategically, logically and commercially
Proven team player with demonstrated analytical and communication skills
Trustworthy, discreet and tactful while handling confidential and sensitive information
Ability to manage external counsel across multiple jurisdictions to ensure transactional deadlines are met
Ambition to grow within ICON legal team over time
