Corporate Governance & Company Secretarial Associate - Ireland, Dublin

ICON is looking for a Corporate Governance & Company Secretarial Associate to join our Corporate Governance team. This role supports the governance of 275 legal entities across 70+ countries. You’ll report to the Director of Corporate Governance, ESG & Deputy Company Secretary, working closely with internal teams and external advisors to ensure global compliance and best-in-class governance standards.
Key Responsibilities:
Prepare and file annual reports and global corporate compliance filings
Track deadlines and ensure timely submissions
Draft board minutes, resolutions, and related documentation
Support executive share dealing processes and compliance procedures
Prepare board packs and upload materials to board portal software
Maintain and update ICON’s entity database using Diligent Entities (Blueprint)
Respond to queries from business units regarding entity records
Draft and manage powers of attorney, handle notarisation, apostille, and embassy submissions
Liaise with auditors, advisors, notaries, and relevant authorities
Manage external advisor costs and invoice processes
Assist with corporate restructurings, reorganisations, and ad hoc governance projects
Maintain organised company records and filing systems
Support with press release filings and relevant compliance checks
What You’ll Need:
University degree (Hons) in Law, Business, Finance, or related field
Qualified, part-qualified, or actively intending to pursue qualification as a Chartered Secretary and Chartered Governance Professional through the Chartered Governance Institute (formerly ICSA).
Postgraduate qualification validated by the Chartered Governance Institute is an advantage
1–3 years' relevant company secretarial or corporate governance experience preferred
Excellent attention to detail and accuracy under pressure
Strong organisational and multitasking skills
Clear communicator with professional stakeholder engagement ability
Discreet, trustworthy, and confident handling sensitive information
Comfortable working independently and managing competing priorities
Familiarity with Diligent (Blueprint) software or similar tools is a plus
Proficient in Microsoft Office (Word, Excel, Outlook)
