At ICON, we have an incredible opportunity for a Corporate Governance and Company Secretarial Manager in our Leopardstown, Dublin 18 location.
  • The Role:

    Following the recent announcement of ICON's acquisition of PRA Health Services ICON is seeking a manager for its corporate governance and company secretarial function to join its expanding team within Legal in its HQ in Dublin. The successful candidate will work in the corporate governance team within the legal function providing company secretarial and corporate governance services to all business stakeholders under the direction of Director of Corporate Governance and Deputy Company Secretary.

  • Manage a portfolio of legal entities globally in order to meet applicable local company law and regulatory requirements in respect of corporate governance compliance requirements and liaising with local advisors as required in order to prepare and file annual reports and corporate compliance filings for entities within the ICON Group globally.
  • Manage and prioritize workload to comply with filing deadlines and monitor and report on compliance.
  • Manage SEC and stock exchange filings
  • Keep up to date with and research legislative changes and corporate governance regulations and develop and update corporate governance polices.
  • Assist with the executive share trading process and compliance with the Share Trading Policy and any other relevant policies.
  • Manage the filing of material press releases and completing necessary compliance procedures.
  • Project manage general meetings and board meetings and prepare meeting materials and draft board minutes and related documentation and uploading to board portal software.
  • Maintain and update Diligent database and corporate records for ICON Group.
  • Liaise with and respond to queries from business units and external stakeholders on corporate governance matters.
  • Prepare and update powers of attorney as requested by different service lines.
  • Arrange execution, notarization and apostille etc. of minutes, powers of attorney and liaising with Department of Foreign Affairs and Embassies as required.
  • Engage and liaise with external advisors.
  • Collaborate with other teams and support restructuring and reorganisation of companies within the ICON Group.
  • Manage projects to completion in an efficient and effective manner and liaising with internal stakeholders around the business for input and support in such projects.
  • Ad hoc project work and any other tasks as appropriate.

  • As a Corporate Governance and Company Secretarial Manager, the employee is expected to embrace and contribute to our culture of process improvement with a focus on streamlining our processes adding value to our business and meeting client needs.

  • What you will need:
  • Honors university degree preferably in legal, business or finance
  • Chartered Secretary/Chartered Governance Professional (ICSA qualified)
  • 4 to 6 years experience in a corporate governance/ company secretarial role
  • Excellent time management and personal organisational skills
  • Excellent interpersonal skills with the ability to build strong relationships across business functions and communicate in a professional manner at all levels within the organization
  • Excellent attention to detail
  • Ability to work to deadlines, manage multiple projects and deliver under pressure to a high standard
  • Good business and risk awareness skills and the ability to act/think strategically, logically and commercially
  • Proven team player with demonstrated analytical and communication skills
  • Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity
  • Self-starter with the ability to work under their own initiative with a strong work ethic
  • Trustworthy, discreet and tactful while handling confidential and sensitive information
  • Knowledge of Diligent (Blueprint) Software or an equivalent would be an advantage
