ICON plc, a leading Clinical Research Organisation, employing approximately 13,500 employees across 97 offices in 38 countries, seeks an experienced and highly motivated Company Secretarial Associate to join its Legal Department at its Leopardstown Global HQ.

The role:

This is an exciting opportunity for an ambitious and hardworking graduate to join ICON’s highly professional and experienced in-house legal department providing company secretarial and corporate governance support services and assistance to all business stakeholders under the direction of Company Secretarial Manager.

Role responsibilities include:

• Prepare and file annual reports and corporate compliance filings for entities within the ICON Group globally.
• Preparation of meeting materials and uploading to board portal software.
• Assist with the executive share trading process.
• Assist with filing of press releases and SEC filings.
• Draft board minutes and related documentation.
• Filing and storage of board materials and company records.
• Maintain and update database and corporate records for ICON Group.
• Prepare and arrange execution, notarization and apostille etc. of minutes, powers of attorney and liaising with Department of Foreign Affairs and Embassies as required.
• Liaise with auditors and other professional advisors.

• Ability to see tasks through to the end and meet tight deadlines, taking responsibility for their completion and maintaining quality throughout.

• Good business and risk awareness skills and the ability to act/think strategically, logically and commercially.
• Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity.
• Demonstrated ability to work under pressure and/or tight timelines in a fluid/fast-paced, highly collaborative team environment.
• Excellent interpersonal skills with the ability to build strong relationships across business functions and communicate in a professional manner at all levels within the organization.
• Trustworthy, discreet and tactful while handling confidential and sensitive information.
• Superior English written and oral communication skills.
• Working knowledge of PC Applications (Excel, Microsoft Word, Windows, etc.).
• Knowledge of Blueprint Software and/or GEMs would be an advantage.

Education Requirements:

• Honors university degree preferably in legal, business or finance
• ICSA qualified/Part- ICSA qualified or intending to complete the ICSA qualification process.
• ICSA validated postgraduate programme an advantage
